Draft template pending legal review. Not final. Replace bracketed items and have counsel review before public launch.

1. Overview

Backline (“Backline,” “we,” “us”) operates an online platform that connects people who have rehearsal/band rooms (“Hosts”) with people who want to book them (“Guests”). Backline is a venue and payments intermediary only — we are not a party to the booking agreement between a Host and a Guest, and we do not own, operate, or control any room.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use Backline. By using Backline you represent that you meet these requirements.

3. Accounts

You are responsible for your account and for keeping your credentials secure. You agree to provide accurate information and to notify us of any unauthorized use.

4. Bookings, payments & fees

Payments are processed by Stripe. By booking, you authorize the charge shown at checkout. Backline charges Hosts a platform fee (currently 10%) deducted from each paid booking; the remainder is paid out to the Host’s connected Stripe account. Hosts are responsible for their own taxes. Backline is not responsible for a Host’s failure to honor a booking, though we may assist with refunds as described below.

5. Cancellations & refunds

Each room may set its own cancellation policy (full, partial, or no refund, with a cutoff window), shown at the point of booking. Where no room policy is set, Backline’s default policy applies. Refunds are issued to the original payment method via Stripe. [Confirm your default policy and dispute process with counsel.]

6. Conduct & safety

Bookings involve physically entering a room provided by another user. You are solely responsible for your own safety and conduct on-site and for any property you bring or use. You agree not to misuse the platform, list rooms you don’t control, or violate any law.

7. Assumption of risk; disclaimers

Backline is provided “as is” without warranties of any kind. We do not verify rooms, Hosts, or Guests and are not responsible for what happens during a booking. To the fullest extent permitted by law, you assume the risks of using the platform and visiting or hosting at a physical room.

8. Limitation of liability & indemnification

[Insert a limitation-of-liability cap and an indemnification clause reviewed by counsel.] To the extent permitted by law, Backline is not liable for indirect, incidental, or consequential damages arising from your use of the platform.

9. Termination

We may suspend or terminate accounts that violate these terms. You may stop using Backline at any time and request account deletion (see the Privacy Policy).

10. Governing law & disputes

These terms are governed by the laws of [your state/country], without regard to conflict of laws. [Insert dispute-resolution / arbitration / venue clause reviewed by counsel.]
